Important Notice
This Agreement sets forth conditions under which your Company accepts the privileges & responsibilities of an Authorized Referral Agent of PC Ask Me. You specifically stipulate that you have legal standing to enter this Agreement, are acting as an authorized representative of an organization, business or entity, with sufficient authority to accept & agree to the privileges & responsibilities described herein (minors are not eligible for this program). By Agreement, you are obligated to supply PC Ask Me with accurate & complete information.
Privileges
A “New Client” is defined as a direct business referral from you & “New” to PC Ask Me. Terms of payment are within PC Ask Me's sole discretion. Payment for referrals are subject to: 1) verification of payment for Services rendered to New Client 2) cross-verification of referrals by PC Ask Me & Company, at the sole discretion of PC Ask Me 3) payable within 60 days of receipt of payment for Services rendered to New Client, 4) prearranged payment method, by check, electronic transfer or some other means, 5) Referral fees credited to your Company do not accrue interest, and 6) PC Ask Me reserves the right to void a referral fee reasonably suspected of being fraudulent, or in the case of returned service, duplicate transactions, or other valid reasons. PC Ask Me further reserves the right to report Agent Referral Fees under applicable Federal & State law. Accounts inactive for six (6) months will be removed from our system.
Limitations & Restrictions
• Your right to refer Customers to PC Ask Me is non-exclusive, unless expressly stated & Certified ‘Exclusive’
• You are authorized to represent to Clients only services that PC Ask Me states they provide on their website
• You agree to comply with all applicable laws & regulations of various States, the United States & International law
• PC Ask Me grants your Company non-transferable, non sub-licensable, non-exclusive & revocable license to reproduce & display our Marks & images for the purpose of this Authorized Agent Referral program
• You acknowledge & agree that goodwill generated by your use of the Marks inures exclusively to PC Ask Me. You agree not to utilize or apply for registration of any trademark or trade name which may be confusingly similar to the Marks of PC Ask Me
• You agree not to use PC Ask Me’s Marks as keyword search terms or within the URL of web pages
• If PC Ask Me, in its’ sole discretion, reasonably believes that your advertising or use of our Marks is unacceptable, misleading in any way, or against the law, PC Ask Me may terminate this Agreement
• Upon notification from PC Ask Me of the termination of this Agreement for any reason, you will immediately cease use of, and remove from your web site, product images, Marks, trade & logos & all other materials provided by PC Ask Me
• Your Company agrees to indemnify, defend, & hold harmless, PC Ask Me in relation to any claim(s) alleging facts that, if true, would constitute a breach of this Agreement by you. Claims covered under this indemnity obligation to PC Ask Me include any claim related to your Company’s web site content not directly attributable to PC Ask Me
• Your Company may not make any public statements, press releases, publish or distribute statements specific to PC Ask Me without submitting each for prior written approval by PC Ask Me. PC Ask Me fully reserves the right to withhold or grant approvals
PC Ask Me may change, modify, add or remove portions of this Agreement at any time, with or without notice.
